Can I negotiate the asking price of a business?

Yes, you can negotiate the asking price of a business. The advertised price is generally the seller's starting point rather than a guaranteed final sale price. Buyers can make alternative offers based on financial performance, valuation, due diligence findings and market conditions. Negotiations may also involve payment arrangements and other commercial terms, not just the headline price.

Consider three important factors:

  • Business valuation: Use financial records, maintainable earnings, assets and comparable transactions to support your proposed purchase price.
  • Identified risks: Customer concentration, declining profitability, outstanding liabilities or additional investment requirements may justify negotiating a lower price.
  • Payment terms: Consider whether deferred consideration, seller financing or an earn-out arrangement could help both parties reach an agreement.

For example, a business advertised for £600,000 may receive an offer of £550,000 if the buyer identifies significant investment requirements or financial risks that affect its valuation.

Negotiations should be based on evidence and realistic expectations. Once the principal terms are agreed, they can be recorded in a Heads of Terms document before progressing to detailed due diligence and legal documentation.
