How do I know if a business buyer is serious?

A serious business buyer will typically have clear acquisition criteria, a realistic budget and a genuine intention to complete a purchase. They should be willing to explain their experience, funding arrangements and proposed timescale. Before sharing sensitive information, sellers should assess the buyer's credibility and whether they have the financial capacity to proceed.

Look for three key indicators:

  • Clear acquisition intentions: The buyer should be able to explain what type of business they want to acquire, why your business interests them and how it fits their objectives.
  • Financial capability: Serious buyers should be prepared to provide reasonable evidence of available funds or financing arrangements as discussions progress.
  • Professional communication: Genuine buyers generally ask relevant questions, respond consistently and demonstrate an understanding of the acquisition process.

For example, a buyer who can explain their acquisition strategy, provide appropriate financial evidence and outline a realistic completion timeline may be more credible than someone unwilling to discuss their intentions.

Before providing confidential business information, consider requesting a signed non-disclosure agreement (NDA) and verifying the buyer's identity.
