How far in advance should I prepare my business for sale?

Ideally, you should begin preparing your business for sale at least 12–24 months before approaching buyers. This allows time to improve financial performance, organise documentation, strengthen management and resolve potential risks. Larger or more complex businesses may benefit from planning several years in advance, although a shorter preparation period is possible.

Focus on three key areas:

  • Financial preparation: Organise annual accounts, management reports, tax records and cash flow information. Address any financial inconsistencies and identify opportunities to improve profitability.
  • Operational improvements: Reduce reliance on the owner, document important processes and strengthen customer, supplier and employee relationships.
  • Legal and commercial readiness: Review contracts, outstanding liabilities, business assets and potential issues that buyers may identify during due diligence.

For example, if a business relies heavily on its owner for customer relationships, preparing two years in advance may provide sufficient time to transfer responsibilities to an established management team.

Early preparation can make the business easier to evaluate, reduce potential delays and help you approach buyers with greater confidence.
